Terms of Service
Last updated: 1 November 2026
1. Who we are
These terms are an agreement between you and Marginfort LLC, a Wyoming limited liability company, 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("Marginfort", "we", "us"). They cover the Marginfort website, software and related services (the "Service"). By creating an account or using the Service, you agree to these terms on behalf of yourself and the business you represent.
2. The Service
Marginfort is subscription software for online sellers. It connects to the stores and accounts you choose, analyses your data, and helps you reduce lost profit, for example by tracking true profit, drafting chargeback responses, alerting you about stock and ad spend, and finding reimbursements you may be owed. The features in each plan are listed on our pricing page.
3. Your account
- The Service is for business use. You must be at least 18 and able to agree to these terms for your business.
- Keep your login details safe and tell us at security@marginfort.com if you think your account has been misused.
- You are responsible for activity under your account, including activity by your team members and by AI assistants or tools you connect with your credentials.
4. Connecting your stores
You connect your stores and accounts (for example Shopify, Amazon or WooCommerce) using the permissions those platforms provide. You confirm you are allowed to connect them. Your use of each platform remains subject to that platform's own terms. You can disconnect a store at any time.
5. Actions you authorise
Some features can act for you, such as submitting a chargeback response, pausing an ad, updating stock or sending a purchase-order draft. These actions are off until you turn them on.
- You appoint Marginfort as your limited agent only to perform the actions you enable in your settings or approve one by one.
- We act only on your instructions. You remain the seller of record and are responsible for your orders, your purchase orders, your ad decisions and the accuracy of information submitted for you.
- You can switch any action off at any time in your settings. Switching off applies from that moment onward.
- We keep a record of each authorisation (what was enabled, by whom, when and under which version of these terms).
6. AI features
Parts of the Service use artificial intelligence to analyse data and draft content. AI output can contain mistakes. Please review anything that needs your approval before you approve it. Our support assistant is an AI assistant and will tell you so; you can always ask to reach a person at support@marginfort.com.
7. Plans, trials and payment
- Plans are billed monthly or annually in advance. Each new business gets one 14-day free trial; we email you before the trial ends.
- Web orders: our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all web orders and handles payment, invoices, sales tax and VAT. Paddle's Buyer Terms also apply to those orders.
- Shopify App Store: if you subscribe through the Shopify App Store, Shopify bills you under its terms.
- Price lock: the price you sign up at does not go up for as long as your subscription stays active on the same plan. New prices apply only to new subscribers or plan changes.
- Usage-based extras (such as extra chargeback responses or extra stores) are charged as shown on the pricing page.
8. Cancelling and refunds
You can cancel at any time; your plan stays active to the end of the paid period. Refunds follow our refund policy.
9. Acceptable use
You will follow our Acceptable Use Policy. In short, you will not use the Service to break the law or any platform's rules, to submit false information or evidence, to access data you are not allowed to access, to attack or overload the Service, or to copy, resell or reverse-engineer it. We may suspend accounts that do.
10. Your data
- You own your data. You give us permission to use it only to provide, secure and improve the Service for you, as described in our Privacy Policy.
- We do not sell your data or your customers' data.
- For personal data of your customers, we act as your processor (service provider). Our Data Processing Agreement forms part of these terms.
- When you close your account or disconnect a store, we delete the related store data within 30 days, except where the law requires us to keep it.
11. Our property
The Service, its software, design and brand belong to Marginfort. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
12. Availability and service credits
We aim for 99.9% monthly availability. If availability in a month falls below 99.9%, you get an automatic credit of 10% of that month's fee; below 99%, 25%. Planned maintenance announced in advance and outages caused by third-party platforms are not counted.
13. No guaranteed outcomes
We work to recover and protect your profit, but we cannot guarantee results. For example, the decision on a chargeback is made by the card network, bank or payment provider, not by us.
14. Disclaimer
Apart from what these terms expressly say, the Service is provided "as is" and "as available", to the extent the law allows.
15. Limitation of liability
To the extent the law allows: (a) neither party is liable for indirect or consequential losses, or for loss of profits, revenue or data arising indirectly; and (b) each party's total liability under these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, such as for fraud.
16. Indemnity
You will cover our reasonable costs if a third party makes a claim arising from your data, your instructions or your breach of these terms. We will cover your reasonable costs if a third party claims that the Service, as we provide it, infringes their intellectual property.
17. Suspension and termination
You may stop using the Service at any time. We may suspend or end your access if you seriously break these terms or do not pay, and we will tell you why. Sections 10 and 13 to 19 continue after the agreement ends.
18. Changes to these terms
We may update these terms. For important changes we will email you at least 30 days before they take effect. If you do not agree, you can cancel before then.
19. Law and disputes
These terms are governed by the laws of the State of Wyoming, USA. Courts in Wyoming have jurisdiction, unless the law of your country gives you a right to bring a claim where you are based.
